Credit notes, explained

Mistakes happen. Credit notes fix them.

A credit note reduces or cancels an invoice you already sent, without rewriting history. Overbilled a client? Refunding a deposit? Granting a discount after the fact? This is the document for that, and it keeps your books honest.

An invoice says "you owe me this." A credit note says "actually, you owe me less." The original stays exactly as it was.

When to issue a credit note

Five situations where a credit note is exactly right:

  1. You overbilled. The classic. Invoice said $1,800, the correct total was $1,500. A $300 credit note fixes it without touching the original.
  2. You are refunding a client. A deposit returned, a project cancelled after payment. The credit note documents money going out.
  3. A discount granted after the fact. You invoiced full price, then agreed to 10% off to keep the relationship. Credit note for the 10%.
  4. Work was cancelled after invoicing. The invoice stands as issued, the credit note cancels part or all of it. Both documents stay on record.
  5. A goodwill credit. The client is unhappy about a delay and you offer $200 off the next invoice. Issue the credit note now, reference it later.

When a credit note is the wrong document

  • Do not use one for new work. New work gets a new invoice. A credit note only corrects an existing one.
  • Do not quietly edit the old invoice. If the client already has it in their books, your two records now disagree, and disagreements get expensive at tax time.
  • Do not issue one before talking to the client. A surprise credit note reads as an admission of a bigger problem. One sentence of context ("spotted an overbilling on line 2") prevents that.
  • A credit note is not a refund receipt. If you returned money, send the credit note and, when the transfer clears, a receipt is not needed for money going out. Keep the bank confirmation instead.

What goes on a credit note

Six essentials, and the fourth is the one people forget:

  1. The words "Credit note." Not "adjusted invoice", not "refund". The label matters.
  2. A credit note number. Its own sequence per year: CN-2026-001, CN-2026-002.
  3. The date of issue. When the correction was made.
  4. The original invoice number. "In reference to INV-2026-104, issued August 28, 2026." Without this, the note is an orphan.
  5. The reason, in one line. "Correction of overbilled hours on line 2." Future you will thank present you.
  6. The amounts, stated clearly. Show the original total, the credit amount, and the corrected balance owed. Ambiguity here defeats the purpose.

Credit note questions freelancers actually ask

Why can't I just edit the original invoice?

Because the invoice may already sit in your client's books, their accountant's files, or a tax filing. Editing your copy makes the two records disagree. A credit note keeps the original intact and records the correction as its own document, which is exactly what an auditor wants to see.

Can a credit note be partial?

Yes. Credit the full invoice amount or just the part that was wrong, like one overbilled line item. State the original total, the credit, and the corrected balance so nobody has to do arithmetic.

Does a credit note affect my taxes?

Generally it reduces the revenue you report for the invoice it corrects, since that money is no longer owed to you. That is general guidance, not tax advice. If the amounts are large, check with your accountant before filing.

What if the client already paid the wrong amount?

Issue the credit note for the difference, then either refund the overpayment or apply it to their next invoice with their agreement. Put which one you chose in writing on the note itself.

Can the client just pay less and skip the paperwork?

They can, but then your invoice says $1,800 and their payment says $1,500, and both of you get to explain the gap later. The credit note takes two minutes and removes the question entirely.

Do I need to number credit notes?

Yes, with their own sequence per year, like CN-2026-001. Never reuse invoice numbers for them, and always reference the original invoice number on the note.
